MaxERP Terms of Service

Welcome to MaxERP. These Terms of Service ("Terms") constitute a legally binding agreement between MERP TECHNOLOGIES L.L.C ("MaxERP", "we", "us", or "our") and the organization or individual ("Customer", "you", or "your") accessing or using the MaxERP platform, web applications, mobile applications, and integrated features (including our official Meta WhatsApp Business API integration).

By creating an account, accessing our platform, or connecting any third-party integration, you agree to be bound by these Terms and our Privacy Policy.

1. Product Scope & Service Provision

MaxERP is an integrated enterprise resource planning SaaS platform providing tools for workforce management, payroll processing, shift rostering, inventory control, document management, accounting, customer relationship management, and multi-channel customer communications.

Subject to compliance with these Terms and payment of applicable subscription fees, MaxERP grants you a non-exclusive, non-transferable, revocable license to access and use the platform for your internal business operations.

2. Account Registration and Security

• Authorized Use: You must ensure that only authorized personnel have access to your organization's MaxERP workspace.
• Credential Confidentiality: You are responsible for safeguarding login credentials, API keys, and authorization tokens. You must immediately notify us at [email protected] of any suspected unauthorized access or breach.
• Accuracy of Information: You agree to provide accurate, current, and complete organizational information during registration and keep it updated.

3. WhatsApp Business API Integration

MaxERP allows customer businesses to connect their own WhatsApp Business Account (WABA) using Meta's official authorization flow to manage customer conversations, deliver customer service, send authorized notifications, and share business documents.

• Customer-Owned Assets: The WhatsApp Business Account, phone numbers, and associated WhatsApp Business Manager assets belong to and remain the responsibility of the Customer.
• Meta Policy Adherence: Your use of WhatsApp through MaxERP is strictly contingent upon your continuous compliance with all Meta and WhatsApp terms, including the WhatsApp Business Policy and the WhatsApp Commerce Policy.
• Recipient Consent & Opt-In: You are solely responsible for obtaining and maintaining valid, verifiable opt-in consent from all message recipients prior to initiating business conversations or template notifications.
• Independent Meta Billing: Conversation fees, tier limits, and service fees billed by Meta Platforms, Inc. are governed directly by your agreement with Meta.

4. Acceptable Use Policy

You agree not to use MaxERP to:

• Violate any applicable local, federal, or international laws, including UAE cybercrime and data protection regulations.
• Transmit unsolicited bulk communications, spam, phishing messages, or fraudulent schemes.
• Transmit content that is defamatory, harassing, obscene, hateful, or that infringes any third party's intellectual property rights.
• Attempt to decompile, reverse-engineer, probe, or compromise the security and integrity of the MaxERP platform or its underlying infrastructure.
• Misrepresent your organization, identity, or authority to act on behalf of any entity.

5. Data Ownership, Retention, and Deletion

You retain all rights, title, and ownership in the business data, files, and communications you submit to MaxERP ("Customer Data").

• Data Processing: MaxERP processes Customer Data solely to deliver the services and as outlined in our Privacy Policy.
• Retention Schedules: Active WhatsApp message text is subject to a 24-month scheduled cleanup lifecycle, and message media is subject to a 90-day scheduled cleanup lifecycle, subject to statutory business record retention and legal-hold obligations.
• Deletion Requests: Customers can request the permanent removal of eligible stored data at any time by following our Data Deletion Instructions or emailing [email protected].
• Disconnecting Services: You may disconnect third-party integrations (including WhatsApp) at any time. Disconnecting disables the integration in MaxERP but does not automatically delete previously stored historical records; an explicit deletion request is required.

6. Intellectual Property

All intellectual property rights in the MaxERP platform, user interfaces, branding, software code, databases, documentation, and logos belong exclusively to MERP TECHNOLOGIES L.L.C and its licensors. You may not copy, reproduce, or create derivative works without prior written authorization.

7. Service Availability & Disclaimers

We provide MaxERP on a commercially reasonable basis. While we strive for continuous uptime and data integrity:

• The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
• We do not warrant that the service will be uninterrupted, error-free, or entirely secure from unauthorized third-party interference.
• We are not liable for outages, delays, or policy enforcement actions caused by external providers, including Meta Platforms or telecommunications carriers.

8. Limitation of Liability

To the maximum extent permitted by applicable UAE law, neither MERP TECHNOLOGIES L.L.C nor its directors, employees, or partners will be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or reputational damage arising from your use of or inability to use MaxERP.

9. Term, Suspension, and Termination

These Terms remain effective as long as you maintain an active account or use the platform. We reserve the right to suspend or terminate access immediately upon notice if you breach these Terms, fail to pay applicable fees, or engage in activities that threaten platform security or legal compliance.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in the United Arab Emirates.
